August 9 Called District Conference 

We are meeting to vote on incorporating the new Three Notch’d District on Tuesday, August 9, 7pm via Zoom.  Here is the resolution: 

RESOLVED, that
(1) the formation of the Three Notch’d District as a Virginia nonstock corporation
to be called, “Three Notch’d District of the Virginia Annual Conference of The
United Methodist Church” (the “Three Notch’d District”), to serve as successor to
the Charlottesville and Richmond Districts of the Virginia Annual Conference of
The United Methodist Church, is hereby approved, and Rev. Hyo Lee, Ph.D.,
District Superintendent or his designee or other District Superintendent appointed by the

Bishop (the “Authorized Individual”) is hereby authorized to take
any and all steps as he deems necessary or advisable in connection with the
formation and the organization of such corporation, including without limitation
filing Articles of Incorporation for the Three Notch’d District with the Virginia State
Corporation Commission;
(2) the following individuals are hereby elected as the initial trustees and directors
of the Three Notch’d District: Rev. Ed Clever, John Glass, Rev. Bill James, Rev.
Hyo Lee, Rev. Claudia Stallings, Don Vaught, Sharon Wray.
(3) the dissolution of The Board of Missions of the Richmond District Virginia
Conference of the United Methodist Church, a Virginia nonstock corporation (the
“Richmond Board of Missions”), and, ultimately, the termination of the corporate
existence of the Richmond Board of Missions, are hereby approved, and the
Authorized Individual is hereby authorized (in each case working with and
through the trustees/directors and officers of such corporations) (i) to proceed
with the orderly wind-down of the Richmond Board of Missions, including without
limitation transferring all assets of the Richmond Board of Missions to the Three
Notch’d District and settling all debts and obligations of the Richmond Board of
Missions, (ii) at such time that the wind-down has been completed, terminating
the corporate existence of the Richmond Board of Missions; and (iii) taking any
and all steps as may be necessary or advisable in connection with such
wind-down and termination, including without limitation filing with the Virginia
State Corporation Commission Articles of Dissolution and Articles of Termination
for the Richmond Board of Missions at such time that the Authorized Individual
deems appropriate.
